MCA Circular on filing of DPT-4 and two new Rules





NO NEED TO FILE FORM 23C AND 23D

As per MCA website, form 23C and 23D are not applicable for filing in relation to the appointment of Cost Auditor. New form required pursuant to new Cost Record & Audit shall be made available soon.


EXTENSION OF TIME TO FILE FORM DPT-4

MCA vide its circular No. 27/2014, dated 30TH June 2014 has extended the last date for filing form DPT-4 for two months without any additional fees.  Now the last date for filing the said form with ROC is 31st August 2014.

 MCA vide its circular No. 26/2014, dated 27th June 2014 has clarified that the use of “Commodity Exchange” in the name of company shall be allowed only if certificate from “Forward Market Commission” is furnished.  

 Certificate form ‘Forward Market Commission will also be required in case of companies registered with word “Commodity Exchange” before the issue of this circular.

MCA circular on applicability of requirement of “Resident Director”



Section 149(3) requires every company to have one “Resident Director” who has stayed in India for not less than 182 in the previous calendar year. 

MCA vide its circular No. 25/2014, dated 26th June 2014, has clarified that ‘residency requirement’ would be reckoned from the date of commencement of the Act i.e. 1st April 2014. The first previous calendar year for compliance of this provision would be calendar year 2014. The period to be taking into account for compliance of this section will be remaining period of calendar year 2014 (i.e. 1st April to 31st December 2014)-

Companies incorporated between 1st April to 30th Sep 2014 should have resident director at the time of incorporation or within 6 month of their incorporation.  Companies incorporated after 30th Sep. 2014 need to have the resident director form the date of incorporation itself.

In continuation of the General Circular No. 20/2013 dated 27/12/2013, it is clarified that the shares held by a company in another company in a ‘fiduciary capacity’ shall not be counted for the purpose of determining the relationship of `associate company’ under section 2(6) of the Companies Act, 2013.
